Agreement Overview
These Terms of Service ("Terms") govern your use of ChapterWise, a manuscript analysis service operated by Studio Phong ("we," "us," or "our"). By using our service, you agree to these terms. We've designed these terms to be fair to both writers and our platform.
Eligibility
Age Requirement: You must be at least 16 years old to use ChapterWise. If you are between 16 and 18, you must have parental or guardian consent. By using our service, you represent that you meet these requirements.
Your Creative Ownership Rights
Full Ownership: You retain complete ownership and copyright of all manuscripts, stories, and creative content you upload.
No Claims: ChapterWise makes no claim to your intellectual property and never will.
Instant Deletion: You can delete your content at any time, and it will be permanently removed from our systems.
Private by Default: All your content is private unless you explicitly enable sharing or public access.
License Grant to ChapterWise
What You're Granting Us
To provide our services effectively, you grant ChapterWise a limited, non-exclusive, revocable license to:
- Store and Backup: Maintain secure backups of your content to prevent data loss
- Process and Analyze: Run AI analysis on your manuscripts to provide insights
- Display to You: Show your content back to you through our web interface
- Serve Public Content: If you explicitly enable sharing, display your content to others as directed by you
What This License Does NOT Include
- No rights to publish, sell, or commercialize your work
- No rights to create derivative works
- No rights to use your content for AI training
- No rights to share with third parties without your permission
- This license automatically terminates when you delete content

Third-Party AI Providers
How Your Content is Processed
ChapterWise uses third-party AI providers to analyze your manuscripts. When you submit content for analysis, it is sent to these providers for processing. By using our service, you acknowledge and agree to this.
Current AI Providers
- Anthropic (Claude) â Primary analysis engine. Anthropic's usage policies prohibit them from training on your content submitted through our API. See Anthropic's policies.
Our Commitments Regarding AI Providers
- We only use providers whose policies prohibit training on customer content
- Your content is sent only for the purpose of generating your requested analysis
- We will notify you via email at least 30 days before adding any new AI provider
- We do not permit AI providers to retain your content beyond the analysis session
GitHub Project Integration
Repository Access and Permissions
When you connect a GitHub repository to ChapterWise Codex, you explicitly grant us permission to:
- Read Access: Clone and read files from the specific repositories you authorize
- Sync Updates: Receive webhook notifications when you push changes
- Serve Content: Display repository files through our interface
- Local Storage: Store a local copy for fast access
Your Control Rights
- Revoke access anytime via GitHub settings
- Delete project connection in dashboard
- Per-repo authorization only
- Full ownership retained
Deletion Guarantee
- Disconnect = immediate sync stop
- All local copies permanently deleted
- Backups purged within 24 hours
- Deletion is irreversible
Your Responsibilities
Acceptable Use
You agree to use ChapterWise only for legitimate manuscript analysis purposes. You will not:
- Upload content that violates copyright or contains illegal material
- Attempt to reverse engineer our analysis algorithms
- Share account credentials or abuse our credit system
- Use the service to harass, spam, or harm others
- Attempt to circumvent usage limits or security measures
Content Responsibility
You confirm that you own or have the right to analyze any content you upload. You're responsible for ensuring your content doesn't violate any laws or third-party rights.
Content Guidelines
ChapterWise is designed for analyzing fiction and non-fiction manuscripts across all genres, including works with mature themes. However, the following content is prohibited:
- Content that depicts the sexual exploitation of minors (CSAM)
- Content created for the purpose of facilitating real-world violence or terrorism
- Content that constitutes actual threats, doxxing, or harassment of real individuals
- Content that violates applicable laws in your jurisdiction
We do not proactively screen your manuscripts. Content moderation only occurs in response to reports or legal requirements.
Automated Access and API Use
You may not access ChapterWise through automated means (bots, scrapers, or scripts) without prior written permission. Automated bulk uploads, analysis requests, or data extraction are prohibited unless authorized through an official API agreement. Violation may result in immediate account suspension.
Credits and Payment
Credit System
ChapterWise operates on a pay-as-you-go credit system. Buy credits when you need them - they never expire. Pricing is transparent and shown before each analysis.
Payment Terms
- All payments processed securely via Stripe
- Credits are non-refundable once purchased
- Unused credits never expire
- Pricing may change with 30 days notice
Refund Policy
- Technical failures: Full credit refund
- Service unavailable: Credit restoration
- Unsatisfactory analysis: Case-by-case review
- Disputed charges: Contact within 14 days
Account Inactivity
If your account remains inactive (no login or API activity) for an extended period:
- After 12 months: We will send a reminder email to your registered address
- After 18 months: We may classify your account as dormant and archive your data
- After 24 months: We reserve the right to delete dormant accounts and associated content after a final 30-day notice
Your credits never expire regardless of account activity. If your account is scheduled for deletion, you will receive at least 30 days notice with instructions to reactivate or export your data.

Liability and Disclaimers
Service Disclaimer
ChapterWise provides analysis tools "AS IS" and "AS AVAILABLE." While we strive for accuracy, AI analysis is inherently subjective. We make no guarantees about the quality, accuracy, or usefulness of analysis results. Use professional editorial judgment.
Software Warranty Disclaimer
We maintain ChapterWise to commercially reasonable standards and regularly update and monitor our systems. However:
- Software may contain bugs, glitches, or unexpected behavior despite our best efforts
- We do not warrant uninterrupted, error-free, or completely secure operation of the service
- We are not liable for any damages arising from software defects, downtime, or service interruptions
- We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
User-Initiated Sharing and Public Access
ChapterWise provides features that allow you to share content publicly or with specific individuals. You acknowledge and agree that:
- You are solely responsible for any content you choose to share, publish, or make accessible to others through ChapterWise
- If you share sensitive, confidential, or unpublished material and it is accessed by third parties, ChapterWise bears no liability for such disclosure
- You should review all content before enabling sharing features to ensure it does not contain information you wish to keep private
- Once content is made public or shared via a link, ChapterWise cannot control how recipients may use, copy, or redistribute that content
Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the amount you paid for credits in the past 12 months, except:
- Data breach: Unlimited liability for unauthorized disclosure of your manuscripts
- Willful misconduct: If we intentionally violate these terms
- Gross negligence: Reckless disregard for your data security
In no event shall ChapterWise be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of whether we were advised of the possibility of such damages.
Indemnification
You agree to indemnify and hold harmless ChapterWise, Studio Phong, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the service
- Your violation of these Terms
- Your violation of any third-party rights (including copyright)
- Any content you upload that violates applicable laws
- Any sensitive, confidential, or proprietary information you choose to share, publish, or make publicly accessible through ChapterWise's sharing features, access links, or public project settings
- Claims by third parties arising from content you made available through the service
Important: Your Sharing Decisions Are Your Responsibility
ChapterWise provides tools to control the visibility of your content (private, shared via link, or public). You are solely responsible for configuring these settings appropriately. If you accidentally or intentionally share sensitive information â including unpublished manuscripts, personal data, trade secrets, or confidential material â and it is accessed by others, ChapterWise is not liable for any resulting damages, losses, or claims. We strongly recommend reviewing your sharing settings regularly and only sharing content you intend to make available.

We believe in resolving disputes fairly and quickly. Before any legal action:

Legal Terms
Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.
Severability
If any provision is found unenforceable, the remaining provisions continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and ChapterWise.
No Waiver
Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
Assignment
You may not assign these Terms without our consent. We may assign our rights to any successor or acquirer.
Force Majeure
We are not liable for delays or failures due to causes beyond our reasonable control (natural disasters, war, etc.).
Changes to These Terms
We may update these terms occasionally. We will never change our core commitments about your creative ownership and data protection without your explicit consent. For other changes, we'll provide 30 days notice via email.
